Thanks for using our Locksmith Connect LLC services, referred subsequently as (“Services”). These Terms of Service (“Terms”) govern your access to and use of our (“Services”) including but not limited to our website (locksmith-connect.com), its subpages, subdomains, content and services, available at or through the website and mobile applications operated by Locksmith Connect, LLC.

Locksmith Connect is a company duly registered located at 7600 S. Jones Blvd. Las Vegas, Nevada or its subsidiaries.

BY ACCESSING AND USING OUR SERVICES IN ANY MANNER THEREOF, YOU ARE “ACCEPTING” AND AGREEING TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT UNCONDITIONALLY ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING OR USING THE SERVICES. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, THEN ACCEPTANCE IS IMPLIED BY YOUR USAGE AND IS LIMITED TO THESE TERMS ONLY. THESE TERMS SHOULD BE READ IN CONJUNCTION WITH LOCKSMITH CONNECT’S PRIVACY POLICY, LOCAL LAWS, REGULATIONS AND POLICIES.

BY BROWISNG, ACCESSING OR OTHERWISE USING THE SERVICE, YOU INDICATE THAT YOU AGREE TO ALL THE TERMS OF SERVICE AS CONTAINED HEREIN AND AS MAY BE REVIEWED FROM TIME TO TIME, HENCE READ CAREFULLY BEFORE PROCEEDING.

Minimum Age Requirement

Locksmith Connect is concerned about the safety and privacy of all of its users. For this reason, children (under the age of 18) are not permitted to use this service, without the supervision of an adult or legal guardian.

INDIVIDUALS REPRESENTING CORPORATE BODIES, INSTITUTIONS, ORGANIZATIONS AND ANY SUCH LEGAL ENTITY MUST BE BONAFIDE EMPLOYEES, DIRECTORS, OWNERS, AGENTS OF THE MENTIONED ENTITY AND HAVE SUCH AUTHORIZATION AS TO ENABLE THEM TO ENTER INTO THIS AGREEMENT.

Definition of Terms

For purposes of this Terms of Service:

1. “We” means Locksmith Connect LLC, its Subsidiaries, Affiliates, Shareholders, Directors, Officers, and Employees or any other person or entity acting on behalf of Locksmith Connect, LLC, by express legal authorization.

2. “Our” shall be construed accordingly to mean anything belonging to or being legally operated by Locksmith Connect LLC, and anyone thus having proprietary interest or employed by Locksmith Connect LLC, status notwithstanding.

3. “You” or “User” means the person, firm, company or organization browsing and/or using our services including anyone who browses, crawls, scrapes, or in any way accesses or uses our services.

4. ““Your” shall be construed accordingly to mean anything belonging to or being legally operated by you and anyone thus having proprietary interest or employed by you, status notwithstanding.

5. “Terms” refers collectively to all of the terms, conditions, and notices contained or referenced in this Terms of Service (as may be subsequently modified).

6. “Site” refers to Locksmith Connect, LLC website (locksmith-connect.com), its subpages, subdomains, mobile applications, and all content, services, and products available at or through the website and mobile Applications.

7. “Service” means the services provided by Locksmith Connect, LLC, including without limitation access to Locksmith Connect’s call service, website information, online communication tools, products, client referral service and payment services.

8. “Content” means all documents, communications, alerts, emails, text, images, photos, audio, video, location data, and all other forms of data or communication.

9. “Protected content” means any content that is restricted from a user for the security, safety and privacy of Locksmith Connect, LLC, and/or its users. This may include payment information and client location, protected content shall be encrypted and secured.

10. “User content” means content that users submit or transmit to, through or in connection with the site.

11. “Third party content” means content that originates from parties other than Locksmith Connect LLC., or its users, which is made available in connection with the site.

These Terms will remain in full force and effect as long as you are a user of our services and, in the event of termination of any service or feature, you will still be bound by your obligations under these Terms, and any Additional Terms and Conditions.

Registration Obligations

Locksmith Connect may ask you to register for before using certain features or services. We expect you to provide information that is true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Locksmith Connect has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete. Locksmith Connect commits to protect your information and privacy when using our services. However, by using our services, you acknowledge that any information that transmitted over the internet or stored in Locksmith Connect systems could be exposed to security risks such as being viewed by third parties or used in unlawful activity. Locksmith Connect disclaims all liability, in the furthest extent permissible by law to you in the event that this happens. Be thus advised that if you use our services despite of this provision, you waive any right to make a claim against Locksmith Connect in any eventuality as above mentioned.

In the ordinary course of business, Locksmith Connect may respond to requests from users seeking information or connection service to a Locksmith. These responses may be in the form of: verbal communication; text messaging, direct telephone calls by, email, mobile application messaging or chats; or any other medium that may be appropriate for the conduct of business. In the event of such responses, Locksmith Connect disclaims any liability and gives no guarantee of the accuracy of any business information or entity contained in the Services, including but not limited to the availability of any special offer set out in any listing.

Use License To Any Product or Service

If permission is granted to temporarily download a copy of the material information or software product on Locksmith’s Connect website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

1. Modify or copy the materials.
2. Use the materials for any commercial purpose, or for any public display (commercial or non-commercial).
3. Attempt to decompile or reverse engineer any software contained on Locksmith Connect website.
4. Remove any copyright or other proprietary notations from the materials.
5. Transfer the materials to another person or “mirror” the materials on any other server.

Locksmith Connect reserves the right to immediately terminate such license without further reference to you, your company, organization or firm if you violate any of these restrictions Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Payment Terms & Conditions

By using our services, you acknowledge that Locksmith Connect may charge service fees and other charges inclusive of tax obligation at the rate that shall be set out in the applicable service. Further to this, Locksmith Connect reserves the right to modify any rates and charges without any reference to you, which shall take effect as of the notice issued modifying them. If such modifications to rates and charges are made and the user is in disagreement with the new terms, he or she is disallowed from continuing to use the service as continued use shall be construed as an acceptance of the new offer.

You agree that, in the event that Locksmith Connect commences collection activities against any user for services rendered including but not limited to indemnity charges, you shall be responsible for any costs incurred including reasonable attorneys’ fees.

Disclaimer of Warranty

The materials on the site are provided “as is”. Locksmith Connect makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Locksmith Connect does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.

Locksmith Connect makes no warranty that:
(1) the service will meet your needs,
(2) the service will be uninterrupted, timely, secure, or error-free,
(3) the results that may be obtained from the use of the service will be accurate or reliable,
(4) the quality of any services, information, or other material purchased or obtained by you through the Service will meet your expectations,
(5) that the use of the materials or content in the site as to their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise, and

Third-Party Applications

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOCKSMITH CONNECT, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE LOCKSMITH CONNECT SERVICE, THIRD PARTY APPLICATIONS OR THIRD PARTY CONTENT, REGARDLESS OF LEGAL THEORY, WITHOUT REGARD TO WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF THE LOCKSMITH-CONNECT OR ANY OF ITS AFFILIATE PARTNERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES (COLLECTIVELY, THE “EXCLUDED DAMAGES”).

YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE LOCKSMITH CONNECT SERVICE, THE THIRD-PARTY APPLICATION OR THE THIRD-PARTY CONTENT IS TO STOP USING ANY OF THE LOCKSMITH CONNECT SERVICES. PROVIDED THAT NOTHING IN THESE TERMS REMOVES OR LIMITS LOCKSMITH CONNECT’S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE. SOME ASPECTS OF THIS SECTION MAY NOT APPLY IN SOME JURISDICTIONS.

Indemnification

YOU AGREE TO DEFEND, INDEMNIFY AND HOLD LOCKSMITH CONNECT AND ITS AFFILIATES, SERVICE PROVIDERS, PARTNERS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (THE “INDEMNIFIED PARTIES”) HARMLESS AGAINST ANY CLAIM FOR DAMAGES, LOSSES OR ANY COSTS, INCLUDING ATTORNEYS’ FEES, ARISING FROM OR RELATED TO YOUR USE OF THIS SERVICE.

IF YOU CAUSE A TECHNICAL DISRUPTION OF THE WEBSITE OR THE SYSTEMS TRANSMITTING THE SITE TO YOU OR OTHERS, YOU AGREE TO BE RESPONSIBLE FOR ANY AND ALL LOSSES ARISING OR RESULTING FROM THAT DISRUPTION. THIS PROVISION DOES NOT APPLY TO INTENTIONAL OR RECKLESS ACTS OR GROSS NEGLIGENCE ON THE PART OF THE LOCKSMITH CONNECT.

Jurisdiction and Applicable Law

Use of this service and these Terms shall be construed, interpreted and governed by the laws of the United State of America, applicable state laws and regulations. The ultimate adjudication forum for any disputes arising out of or relating to these terms of service shall be subject to the Judicial and Quasi-judicial bodies of competent jurisdiction in the United States of America.

Severability

In the event that a provision in these Terms of Service is held to be illegal, invalid or incapable of being enforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Agreement. However, this will not affect the validity or enforce ability of other provisions and the Agreement will thus be deemed amended to the extent of curing the ambiguity, illegality, validity or unenforceability.

Mandatory Arbitration

Notwithstanding the availability of competent courts, you and Locksmith Connect mutually agree that any dispute, claim, or controversy arising from transacting with you will be settled by binding arbitration. Any cause of action brought by you against Locksmith Connect must be instituted within one year after the cause of action arises or be deemed forever waived or bared.

Further You and Locksmith Connect, LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a class member or in any representative capacity or proceeding. Further, no arbitrator shall consolidate any other person’s claims with your claims, may not otherwise preside over any form of a multi-party or class proceeding. If this specific provision is found to be unenforceable in any way, then the entirety of this arbitration section shall be null and void. The arbitrator may not award declaratory or injunctive relief.

Variation of Terms

Locksmith Connect reserves the rights to change, modify, add or remove all or any part thereof these Terms of Service, at any time of its choosing. Prior notice will be issued whenever such changes are made. The revised terms of service shall take effect on the date indicated in the notice. If you disagree with all or part of the revised terms, you are required to discontinue using Locksmith Connect services. Continued use shall be construed as an acceptance to be bound by the revised terms and shall not at any time be subject to a waiver.
